FlowWell Components –
These Terms and Conditions apply to all quotations, orders and contracts for the supply of goods and/or services by FlowWell Components (“FlowWell”, “we”, “us”).
Nothing in these Terms affects the statutory rights of a customer dealing as a consumer where such rights cannot legally be limited or excluded.
By placing an order with FlowWell, the purchaser (“Customer”) agrees to be bound by these Terms.
- Basis of Contract
All goods and services are supplied only on these Terms. Any conditions submitted by the Customer (including on purchase orders or other documents) shall not apply unless expressly agreed in writing by FlowWell.
Acceptance of a quotation, or placement of an order, forms a contract on these Terms only.
No amendment is binding unless confirmed in writing by an authorised representative of FlowWell.
- Previous Dealings
These Terms replace any earlier versions previously issued.
- Quotations
Unless stated otherwise, quotations remain open for acceptance for 28 days from the date of issue.
Prices are exclusive of VAT and delivery unless specifically confirmed otherwise.
FlowWell reserves the right to correct clerical or typographical errors.
- Product Information & Intellectual Property
Images, drawings, dimensions, specifications, weights, capacities and other descriptive material in catalogues, websites or advertisements are intended as general guidance only and do not form part of the contract.
We may make reasonable changes to materials or components provided the goods remain materially in conformity with the agreed specification.
All drawings, designs and technical documents supplied by FlowWell remain our property and must not be copied or shared without written permission.
- Availability
All orders are subject to the availability of materials and manufacturing capacity.
- Warranty
Provided the goods have been correctly stored, installed, used and maintained in accordance with any instructions supplied:
- FlowWell warrants goods against defects in materials or workmanship for 30 days from delivery.
- Our liability under this warranty is limited, at our option, to repair, replacement or credit of the invoiced value.
The warranty does not cover fair wear and tear, misuse, modification, or damage caused by improper installation.
Any claim must be made in writing within 30 days of the defect becoming apparent.
Where the Customer is a consumer, statutory rights will apply.
- Limitation of Liability
Except for liability that cannot legally be excluded (including death or personal injury caused by negligence or fraud):
- FlowWell shall not be liable for indirect or consequential losses, loss of profit, loss of production or similar financial loss.
- FlowWell’s total liability relating to any contract shall not exceed the price paid for the goods or services.
- Payment Terms
Unless agreed otherwise in writing, payment is due 30 days from the invoice date.
We reserve the right to:
- require pro-forma payment,
- suspend work or delivery where sums are overdue.
Interest may be charged on late payments at 2% above the Bank of England base rate, calculated daily.
Orders may not enter production until payment (where required) has been received.
Accepted payment methods include bank transfer and card payment.
- Credit Accounts
Credit facilities may be offered at FlowWell’s discretion and may be withdrawn at any time.
Customers below any agreed annual spend threshold may be supplied on a pro-forma basis.
- Default or Insolvency
If the Customer fails to pay when due, becomes insolvent, or enters liquidation or administration, FlowWell may suspend or cancel any contract immediately and recover payment for work completed and materials supplied.
For call-off or blanket orders, unless otherwise agreed in writing, quantities are expected to be taken within 12 months. FlowWell reserves the right to invoice and ship any remaining balance after this period.
- Delivery
Delivery dates are estimates only and time is not of the essence.
FlowWell is not liable for delays outside its reasonable control.
If dispatch or collection is delayed by the Customer, we may charge for storage and invoice as if delivery had occurred.
If goods remain uncollected three months after notification of readiness, we may resell or dispose of them and credit any proceeds against outstanding sums.
For bespoke manufacture, a tolerance of ±10% may apply to quantities unless agreed otherwise.
- Packing
Standard packaging is included. Special packaging will be charged at cost. Packaging is non-returnable unless agreed.
Export packing will be charged unless otherwise specified.
- Carriage
Delivery will be charged at the rates applicable at the date of dispatch unless otherwise agreed.
Premium or timed services will incur additional cost.
- Loss or Damage in Transit
Claims must comply with the following:
- Damage: the delivery must be signed accordingly and notified to both the carrier and FlowWell within 3 days.
- Non-delivery: must be reported within 7 days of the invoice date.
Failure to notify within these times may invalidate the claim.
- Samples
Samples are provided for evaluation only and do not constitute a sale by sample.
Unless requested before order placement, FlowWell cannot accept responsibility for issues of fit, appearance or suitability.
Samples remain FlowWell property unless otherwise agreed.
- Force Majeure
We shall not be responsible for failure or delay caused by events beyond our reasonable control, including supply chain failure, industrial disputes, natural events, war, fire or transport disruption.
- Governing Law
Contracts are governed by English law and subject to the jurisdiction of the English courts.
